PORTAL TERMS & CONDITIONS

By accessing or using the Agent Portal (“Portal”), you agree to the following terms and conditions (“Terms”). These Terms apply in addition to, and do not replace, any signed agreement you may have entered into with the Company.

1. Independent Contractor Status

You acknowledge that you operate as an independent contractor, not an employee. Nothing in this Portal or related materials shall be construed as creating an employment relationship.

2. Use of Company Systems & Data

  • You agree to use the Portal, CRM, and all Company-provided tools in compliance with applicable law and Company policies.

  • You may not export, scrape, or download Company data for personal use or outside platforms.

  • You must maintain the confidentiality of any non-public data accessed via the Portal.

3. Marketing & Advertising Guidelines

  • All advertising, social media, or outreach materials using the Company name, brand, or logo must be pre-approved.

  • Exclusive Agents may access co-branded templates; Non-Exclusive Agents may not display Company logo unless otherwise authorized in writing.

  • Violations may result in immediate termination of Portal access.

4. Education & Events Access

  • Exclusive Agents may be invited to Company-sponsored training and events at no cost.

  • Non-Exclusive Agents may access select content at the Company’s discretion, subject to availability and possible fees.

5. Email & Brand Usage (Exclusive Only)

  • Exclusive Agents may license a Company-branded email address and business card format upon request.

  • A monthly Admin Fee (e.g., $10) will be deducted from commissions or invoiced separately.

  • Use of the Company’s name requires clear designation as “Independent Agent.”

6. E&O Insurance Maintenance

  • You must maintain active E&O coverage and upload proof annually.

  • The Company may suspend access if coverage expires or proof is not provided.

7. Commission Notices & Disputes

  • Monthly commission schedules will be posted via the Portal.

  • Disputes must be submitted within 10 calendar days of posting, with appropriate documentation.

8. Compliance with Carrier Guidelines

  • You agree to comply with all insurance carrier guidelines, including those provided in linked documents.

  • Violation of carrier rules may result in immediate termination of your agreement and/or Portal access.

9. Policy Updates & Re-Consent

  • These Terms may be updated from time to time. Material changes will prompt a re-consent upon next login.

  • Continued use of the Portal constitutes acceptance of any updates.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of [State], without regard to conflict of law principles. Any disputes shall be resolved in accordance with the provisions of your signed agreement.
